
MERGERS AND ACQUISITIONS (“M&A”)
The M&A activity contains a wide range of operations: search for targets and / or potential buyers, preparation of the Information Memorandum, preparation of the Business Plan, structuring of the transaction, negotiation of confidentiality agreements (“NDA”) and Letter of Intent ( «LOI»), Due Diligence and negotiation of the sales contract («SPA»).
Epyon assists its customers in the entire purchase or sale process, both in national and international context.
PREPARATORY PHASE
Buy side mandates: thanks to an extensive network of contacts, we support our clients in originating M&A transactions, evaluating potential targets and negotiating LOI;
Sell side mandates: we prepare the Information Memorandum and the Evaluation Business Plan. We contact potential buyers and negotiate the LOI.
EXECUTIVE PHASE
The Epyon team has extensive and consolidated experience in the Due Diligence process. We support our customers meticulously, managing the Due Diligence buy side and providing concrete and effective support in the collection and preparation of the documents requested by the buyer in the sell side mandate.
Finally, we support legal advisors in drafting the SPA and in negotiating with thecounterpart.
